1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and Pacific Bridge Consulting ("Company", "we", "us", or "our"), concerning your access to and use of the pacificbridge.jp website as well as any related B2B consulting services provided by us.
By accessing the site or engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the site and must discontinue use immediately.
2. Scope of Services
Pacific Bridge Consulting provides advisory, research, and execution support for companies entering or expanding within the Asia-Pacific (APAC) market. The specific scope, deliverables, timelines, and milestones of any consulting engagement will be defined in a separate Statement of Work (SOW) mutually agreed upon and signed by both parties. In the event of a conflict between these Terms and an executed SOW, the SOW shall prevail.
We provide strategic recommendations based on current market data, regulatory environments, and expert analysis. However, market conditions are volatile, and we do not guarantee specific financial results, market share capture, or regulatory approvals.
3. Confidentiality & Non-Disclosure
During the course of our engagement, both parties may disclose highly sensitive, proprietary information. We treat all client data, trade secrets, business plans, and financial information as strictly confidential. Unless expressly authorized by the Client or required by law, Pacific Bridge Consulting will not disclose any Confidential Information to third parties, except to our employees, contractors, and vetted partners who require access to execute the SOW and who are bound by identical confidentiality obligations.
Our standard practice involves executing a formal, mutual Non-Disclosure Agreement (NDA) prior to the commencement of any deep-dive consulting work or data sharing.
4. Intellectual Property
Pre-existing IP
Each party shall retain all rights, title, and interest in their respective pre-existing Intellectual Property. Nothing in these Terms shall be construed as a transfer of such IP.
Deliverables
Upon receipt of full payment for the Services rendered under an SOW, Pacific Bridge Consulting grants the Client a perpetual, exclusive, worldwide, royalty-free license to use, reproduce, and modify the final reports, strategy documents, and deliverables for their internal business purposes.
5. Fees and Payment
Fees for consulting services will be established in the applicable SOW. Unless otherwise specified, all invoices are due within thirty (30) days of receipt. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Pacific Bridge Consulting reserves the right to suspend services if payments are excessively delayed.
6. Disclaimer of Warranties

PACIFIC BRIDGE CONSULTING EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
8. Term and Termination
Either party may terminate a consulting engagement with thirty (30) days prior written notice unless otherwise specified in the SOW. Upon termination, the Client is responsible for payment for all Services rendered and expenses incurred up to the date of termination.
